Description of Procurement
The University is conducting a Request for Proposal (RFP) for the procurement of functional program and design services for Ryerson’s Yellowhead Institute.
The Yellowhead Institute is a First Nation-led research centre based in the Faculty of Arts at Ryerson University in Toronto, Ontario.
The work will be performed in the following two (2) phases:
Phase One: Functional Program Scope; and
Phase Two: Design and Contract Administration.
Phase Two work will be contingent upon available funding, performance of the Successful Proponent and the future business needs of Ryerson and will, therefore, continue as solely determined by Ryerson. The deliverables and work phases are more fully described in Appendix B – Deliverables.
Ryerson intends to execute the following Professional Services Agreement attached as Appendix E:
1. For Phase One - Functional Program Scope - Professional Services Agreement for Consulting Services; and
2. For Phase Two - Design and Contract Administration - Professional Services Agreement for Prime Consultant Services.
The procurement is anticipated to involve negotiation. An electronic auction is not anticipated.

The submissions will not be opened publicly.
Conditions for Participation
The award of a Final Agreement to a Successful Proponent is conditional on the Successful Proponent providing the following information to Ryerson, in accordance the timeframes specified by Ryerson:
1. Insurance
a) Commercial General liability insurance in the amount of not less than five million dollars ($5,000,000.00) for any one occurrence for bodily injury, property damage including loss of use, or death. Such insurance shall, at a minimum, include coverage of broad form property damage, contractual liability, completed operations and product liability and such other types of insurance as would be carried by a prudent person performing such services and as Ryerson, may from time to time, require. Such policy shall include Ryerson as an additional insured, include a cross liability/severability of interests clause, and include a waiver of subrogation rights which the Successful Proponent’s insurer may have against Ryerson;
b) Standard automobile liability insurance covering vehicles owned by the Successful Proponent and non-owned vehicles with limits of not less than two million dollars ($2,000,000.00);
Valuable papers and media coverage insurance to cover the loss or damage to the full replacement value of drawings, reports, data, plans and specifications and other materials collected, prepared or developed under the Final Agreements in an amount of no less than two hundred fifty thousand dollars ($250,000.00) for Phase 2 only;
c) . Professional liability insurance to cover against Claims made for errors or omissions of, or negligent acts, attributable to, or relating to the performance of the Successful Proponent’s Services under the Final Agreements, with limits of not less than two million dollars ($2,000,000.00) per claim and a deductible or a self-insured retention not to exceed $25,000.00 per claim. Such policy shall not exclude prior acts relating to the Successful Proponent's Services under the Final Agreements. Such insurance shall be maintained from the award of this RFP until two (2) years following the earlier of the termination of the Final Agreements or completion of the Successful Proponent’s Services. The Successful Proponent agrees to advise Ryerson by written declaration of any and all Claims pending against such insurance prior to commencement of the Services and on a monthly basis thereafter as a condition of payment;
d) “All risks” property insurance covering the Successful Proponent and Subcontractors’ owned, rented or leased tools, machinery, equipment and property used for the performance of the Project Work, including equipment breakdown coverage for Phase 2 only
2. WSIB
Provide a clearance certificate from the Ontario Workplace Safety Insurance Board, or if the Successful Proponent is not subject to the Workplace Safety and Insurance Act (Ontario), evidence of employers’ liability coverage equivalent to WSIB coverage in the amount of not less than two million dollars ($2,000,000.00).
3. Agreement to Comply Ryerson COVID-19 Vaccination Policy
Complete and return the fourth page of the Agreement to Comply with Ryerson University COVID-19 Vaccination Policy.
This is an agreement and acknowledgement from the Successful Proponent to Ryerson verifying their compliance with Ryerson’s COVID-19 Vaccination Policy.

Contract Details
The term of the Final Agreements for each Phase is as follows:
Phase One - Functional Program Scope
The term is approximately one (1) month or the successful completion of the project. The successful completion of Phase One- Functional Program Scope is expected to be on or before April 30, 2022.
Phase Two - Design and Contract Administration
Phase Two work will be contingent upon available funding, performance of the Successful Proponent, and the future business needs of Ryerson and will, therefore, continue for all or part of the scope, as solely determined by Ryerson.
Ryerson intends to begin Phase Two following Phase One, within a period of two (2) months, and it will continue until its completion.
The University will base its selection of qualified suppliers on the following criteria:
