McMaster University (the “University”), on behalf of the participating partner institutions of the Ontario University Professional Procurement Management Association (“
OUPPMA”), is issuing the RFSQ Documents for the purpose of qualifying prospective suppliers and establishing a qualified supplier system for the goods and/or services briefly described in the RFSQ Data Sheet and set out in the Draft Master Agreement (the “Goods and/or Services”) of the University and each participating partner institution. Upon mutual agreement, the Successful Proponent(s) agree to offer the same privileges extended to the members of the OUPPMA(for membership refer to
https://www.ouppma.ca/about. The Successful Proponent(s) shall honour all of the terms and conditions of this Agreement for purchase orders from these OUPPMA members, however, neither the OUPPMA nor any of its members assume any obligation on behalf of these organizations. Each participating member will be responsible to enter into a separate agreement with the Successful Proponent(s) based on the terms and conditions of this RFSQ, detailing procurement methods, delivery locations, schedules, and payment arrangements. The RFSQ number is set out in the RFSQ Data Sheet (the “
RFSQ Number”).
The RFSQ competition will be open to any entity described in RFSQ Section 3.15(1). In the RFSQ Documents, individuals or firms that submit documents in response to this RFSQ Process are referred to as “Proponents”. The entity or entities that are qualified in accordance with this RFSQ Process to be added to the qualified supplier list for the Goods and/or Services (“Qualified Supplier List” or “QSL”) are referred to as the “Successful Proponent(s)”. Successful Proponents that execute a Final Master Agreement with the University or participating partner institution are referred to as “Qualified Suppliers”. For ease of reference, prospective proponents, whether or not they submit a proposal in response to this RFSQ Process (a “Proposal”), are also referred to as “Proponents”.
The process to select the Successful Proponents for the purposes of the Qualified Supplier List will commence with the issuance of the RFSQ Documents (as defined in RFSQ Section 2.1(1)) and will terminate when the University selects the Successful Proponent or Successful Proponents (the “RFSQ Process”).
The full description of the Goods and/or Services is set out in the Draft Master Agreement. The final master agreement entered into between the University or participating partner institution and a Successful Proponent pursuant to this RFSQ Process is referred to as the “Final Master Agreement”.
Successful Proponents are required to execute a Final Master Agreement after the conclusion of successful negotiations with the University and participating partner institutions. Proponents are cautioned that the execution of a Final Master Agreement does not commit the University or any participating partner institution to purchase any Goods and/or Services from any Qualified Supplier.
