Invitation to Proponents
The purpose of this Request for Standing Offers (the “RFSO”) is to solicit submissions from qualified firms or individuals for Legal Services in order to build a roster of firms for seven (7) practice disciplines on an as-needed basis as further described (Appendix D) (the “Deliverables”). Firms selected from this RFSO will support all NPCA Departments each with their own unique requirements. NPCA departments that may utilize the Standing Offers are Corporate Services, Land and Operation and Watershed, Office of the CAO, and Human Resources.
Type of Contract for Deliverables
The selected proponent(s) will be requested to enter into direct contract negotiations to finalize an agreement with the Niagara Peninsula Conservation Authority for the provision of the Deliverables. The terms and conditions found in the Form of Agreement (Appendix A) are to form the basis for commencing negotiations between the Niagara Peninsula Conservation Authority and the selected proponent(s). It is the intention of the Niagara Peninsula Conservation Authority to enter into an agreement “as and when required” basis for a period of (3) Three Years with the option to extend the agreement for two (2) one (1) year periods upon mutual agreement. Service is anticipated to commence in January 2021. It is the intention of the Niagara Peninsula Conservation Authority to enter into a Standing Offer Agreement (SOA) in whole in part for seven (7) practice disciplines of legal services as a result of this RFSO. Work will be “as and when required”.
Services:
• Act as Corporate Counsel;
• Address all corporate governance issues;
• Advise on confidentiality, conflict of interest, and ethics issues;
• Advise on Freedom of Information and privacy legislation;
• Advise on various applicable legislation, including but not limited to Conservation Authorities Act, Conservation Land Act, the Residential Tenancies Act, Expropriation Act, etc.;
• Work with levels of government and their public agencies to advance NPCA’s revitalization initiatives via agreements, memoranda of understanding, etc.; and
• Report and provide recommendations to management and Authority members.
