NOTICE OF INTENT
The Canadian Air Transport Security Authority (“CATSA”) is issuing this NOI to advise interested Aboriginal businesses that are providers of Indigenous cultural awareness training of an opportunity to qualify as an Eligible Bidder (as defined in the NOI), and, if eligible to do so, to participate in the intended procurement process.
This NOI and the intended procurement by CATSA for Indigenous cultural awareness training is reserved for Aboriginal businesses (as described below); therefore, the Canadian Free Trade Agreement (“CFTA”) and the Comprehensive Economic and Trade Agreement ("CETA") do not apply to this NOI and the intended procurement process.
NO FURTHER NOTICES WILL BE POSTED IN CONNECTION WITH THIS NOI, EXCEPT AS OTHERWISE CONTEMPLATED BY THIS NOI.
1. Introduction
The Canadian Air Transport Security Authority (“CATSA”) is a Crown corporation with headquarters at 99 Bank Street, Ottawa, Ontario, Canada, K1P 6B9. CATSA is responsible for the delivery of consistent, effective and efficient screening of passengers and non-passengers in designated airports. Further information about CATSA can be obtained at www.catsa.gc.ca.
2. Purpose
The purpose of this NOI is to:
- a) announce CATSA’s intention to issue a Request for Proposals (“RFP”), on or about June 21, 2019, to Eligible Bidders (as defined in the NOI for the opportunity to provide Indigenous cultural awareness training and related services, including but not limited to, design and adaptation of learning content for instructor-led training and eModules, facilitation services in English and in French, post-training evaluations, project management activities, and ongoing advisory services (collectively “Indigenous Cultural Awareness Training”), with activities to begin immediately upon entering into a Contract;
and
- b) inform interested Bidders as to the Minimum Eligibility Requirements to qualify for participation in the above-referenced RFP.
This NOI is neither a request for proposals, a request for standing offers nor a call for tenders. No “Contract A”, as defined under Canadian law, is created by this NOI or participation in establishing eligibility hereunder. The issuance of this NOI is not to be considered in any way as an offer or commitment by CATSA or as authority to undertake any work product or to make any purchases, which could be charged to CATSA. This NOI is not to be considered as a commitment to issue a request for proposals nor award any resulting Contract. No payment shall be made by CATSA for any damages or costs incurred by Bidders in connection with the preparation and submission of any documents, including the NOI Response.

3. Address for Submission of Questions and NOI Responses; Question Acceptance
Deadline and Closing Date
The question acceptance deadline and the closing date are set out in the “Dates” section above. CATSA may extend either or both of such dates.

4. Minimum Eligibility Requirements to Qualify As An Eligible Bidder to Participate in the RFP for Indigenous Cultural Awareness Training
4.1 Aboriginal Business
The Bidder MUST satisfy AT LEAST EITHER:
(i) be a registered Aboriginal business on a publicly available and searchable Aboriginal business directory or database. The list may, but need not, be administered by an Indigenous entity or an entity of any level of Canadian government;
OR
(ii) be an Aboriginal business meeting the eligibility requirements outlined below:
- a) it is an Aboriginal business, in which Indigenous persons have at least fifty-one percent (51%) ownership and control, which can be organized in any manner provided that: (A) the entity or person (or a person on behalf of the entity) that is the Aboriginal business meets 4.2, and, if applicable, (B) where the Aboriginal business has six or more full time employees as of the Deadline for NOI Responses in Section 7 of the NOI at least thirty-three percent (33%) of them must be Indigenous persons.
(The NOI contains some examples of entities through which the Aboriginal business may be organized.)
or
- b) it is a joint venture consisting of two or more Aboriginal businesses that satisfy Section (a) above, or an Aboriginal business and a non-Aboriginal business(es), provided that the Aboriginal business(es): (A) satisfies Section (a) above to be considered an Aboriginal business, and (B) has at least fifty-one percent (51%) ownership and control of the joint venture.
4.2 Legal Status of Aboriginal Business
The Bidder MUST satisfy BOTH:
- i) have a registered office or place of business located in Canada;
AND
- i) certify it is ONE of the below, in order to sign a legally enforceable contract with CATSA:
- a) a legal entity with capacity to contract;
- b) an Indigenous person at least eighteen (18) years of age; or
c) an entity without legal status, provided that the person or legal entity signing on its behalf meets (i) or (ii) and can legally bind the entity.

5. Steps
Eligibility to participate in the RFP is conditional upon Bidder demonstrating compliance with the Minimum Eligibility Requirements listed in this Section 4 above (and as further detailed in the NOI). Bidders wishing to demonstrate eligibility to participate in the RFP for Indigenous Cultural Awareness Training must complete and submit an NOI Response to CATSA before the Deadline for NOI Responses.
The NOI contains details on the steps to determine whether the Minimum Eligibility Requirements have been met by Bidder.
6. Use of MERX
CATSA will only use MERX as its web-based forum to post notices or solicitations. As such, the attached procurement document has only been posted on MERX, and all related documents, notices, addendums, and questions and responses thereto will only be posted on MERX.
